MEMORANDUM OF UNDERSTANDING (MoU)

BETWEEN:

saltco — The Geospatial Open-Source Community Initiative (hereinafter referred to as the "Execution Partner")

Represented by its Founder and Community Director

AND:

(hereinafter referred to as the "Diaspora Resource Partner")

Represented by ,

1. PURPOSE & OBJECTIVE

The purpose of this Memorandum of Understanding (MoU) is to establish a collaborative framework to accelerate digital literacy, digital independence, and advanced open-source geospatial education for students, professionals, and public organizations across Sudan.

Both parties agree to combine the active on-the-ground training infrastructure, digital libraries, and youth networks of the Execution Partner with the professional expertise, academic networks, and resource-mobilization capabilities of the Diaspora Resource Partner.

2. CORE PRINCIPLES & GUARDRAILS

To preserve the foundational mission of the community, both parties explicitly agree to the following operational guardrails:

• Open-Source Integrity: All educational materials, software tools, processing workflows, and data code bases developed or utilized under this partnership must remain 100% open-source, free of charge, and fully accessible to the general public. Commercialization of any joint asset is strictly prohibited.
• Neutrality & Safety: All joint initiatives shall remain strictly academic, humanitarian, and educational. No political, fractional, or commercial alignment shall be introduced, ensuring the physical safety and neutrality of volunteers on the ground in Sudan.
• Co-Branding Transparency: The names, logos, and digital footprints of both the Execution Partner and the Diaspora Resource Partner must receive equal, visible credit on all joint certificates, marketing flyers, course syllabi, and public project readmes.

3. ROLES & RESPONSIBILITIES

A. The Execution Partner (On-The-Ground Community) commits to:

1. Curriculum Delivery: Managing and executing the 4-Track Digital Literacy & Geospatial Roadmap via the established website, YouTube channel, and local community chat hubs.
2. Field Mobilization: Coordinating physical outreach, digital library distribution sessions, and mapathons at Sudanese universities, schools, and civic organizations.
3. Operations & Mentorship Matching: Managing the local intake of students, tracking performance, and connecting high-potential graduates with diaspora mentors.
4. Impact Tracking: Collecting anonymous data on student completion rates, offline drive distribution, and publishing localized case studies.

B. The Diaspora Resource Partner (Alumni Network) commits to:

1. Expert Masterclasses: Organizing and delivering specialized, high-level virtual guest lectures (e.g., cloud spatial programming, advanced remote sensing, spatial AI) to enrich Track 3 and Track 4 students.
2. Resource Mobilization: Financing or sourcing critical offline infrastructure packages, including low-bandwidth SSD/USB digital libraries, single-board computers, or internet data stipends for top regional coordinators.
3. Career Mentorship: Providing 1-on-1 career guidance, portfolio reviews, and international academic/professional networking pathways for selected top-tier graduates of the program.
4. Strategic Advisory: Reviewing curriculum updates to ensure skills align with global market demands and international standards.

4. THE 12-WEEK PILOT INITIATIVE (PHASE 1)

To validate operational compatibility without immediate financial risk, both parties agree to execute an initial 12-Week Pilot Framework:

• Weeks 1–4 (Setup): Co-designing a 4-part masterclass series; distribution of the first batch of offline SSD digital libraries to 2 targeted university student hubs.
• Weeks 5–8 (Execution): Launch of live/recorded diaspora-led technical masterclasses; initiation of the 1-on-1 mentor pairing for 10 selected student leaders.
• Weeks 9–12 (Evaluation & Capstone): Hosting a joint open-source "Sudan Community Mapathon" competition; evaluation of pilot metrics to determine long-term legal structuring.

5. FINANCIAL ARCHITECTURE & TRANSPARENCY

• This MoU carries no immediate financial liability or binding monetary transfer between the parties.
• Specific projects requiring capital (e.g., purchasing hardware drives) will be handled via independent project annexes.
• Any funds raised jointly for this initiative will be tracked via completely open financials, with itemized receipts and public expenditure summaries updated quarterly.

6. INTELLECTUAL PROPERTY

• All pre-existing intellectual property (including the Execution Partner's YouTube library and the partner's institutional materials) remains the sole property of the original creator.
• New educational materials created jointly under this MoU are automatically licensed under the Creative Commons Attribution-ShareAlike 4.0 International (CC BY-SA 4.0) license.

7. TERM, TERMINATION, AND MODIFICATION

• This agreement becomes effective immediately upon signature by authorized representatives of both parties and remains valid for a period of one (1) year from .
• Either party may terminate this MoU at any time by providing thirty (30) days written notice via email.
• Modifications or extensions to this document must be agreed upon in writing by both parties.
